Assistant Company Secretary

Role Responsibility

We are looking to recruit an Assistant Company Secretary on a part time basis. The role reports directly to the Director of Corporate Governance.

You will deliver value to the organisation through proactive and comprehensive support to the board of directors and senior management through good corporate governance. 

You will influence, develop and deliver organisational corporate governance and company secretarial support, taking a lead for the end to end processes associated with the management of meetings – specifically board & committee meetings. A high degree of literacy, administration and organisational capabilities is required for the role together with the ability to deliver results under pressure.

In brief the role will cover the following:

  • Proactive management of annual agenda plans including liaison with contributors to board and committee papers
  • Compilation of board and committee papers using Convene
  • High quality minute taking using the Turning Point minute style guide – this will require the rapid assimilation of knowledge of the health & social care sector requiring concerted effort during the first 6-months and beyond
  • Ownership and execution of annual governance matters including register of interests, fit and proper persons checks, etc.
  • Management of the process for signing statements of work to accompany contracts ensuring these are signed using Adobe Sign and liaising with the business development teams as we develop enhanced contract management procedures
  • Oversight of internal audit from a governance perspective including tracking of audit actions and liaising with the internal audit providers, RSM, in regard to papers for the Audit, Risk & Quality Committee
  • Involvement in the collective duty to manage risk and the associated control environment with particular regard to oversight and potentially management of internal controls assurance reporting
  • Supporting the efficient operation of the Governance Framework, linking this to risk management and board assurance with the Director of Corporate Governance

The Ideal Candidate

This role is ideally suited to a governance professional with enhanced administration and organisational skills who is willing and able to work collaboratively with others to get the job done.

You will be bright, self-directed, personable and comfortable taking on responsibility with a blend of personal maturity and political sensitivity. You will also need to be forward thinking and eager to apply knowledge or quickly learn how our business really works in order to deliver value through the professional execution of the role. 

The role is varied with ample opportunities to grow and learn through involvement in wider governance areas.

Essential criteria

  • Chartered Secretary or Chartered Governance Professional or equivalent
  • Experience of working for a UK company in a company secretarial or governance role
  • Excellent communication skills with adaptable style to meet the needs of different audiences
  • Excellent literacy, numeracy, IT and organisational skills
  • Ability to build and preserve critical relationships with senior stakeholders
  • Ability to work collaboratively across business units and departments to promote & maintain effective working relationships in line with the values of the organisation
  • Ability to draw upon personal and professional skills to deliver positive outcomes – particularly in terms of minutes and company records
  • Commitment to build a strong knowledge-base of how the organisation operates and the wider health & social care sector

Desirable criteria

  • Knowledge of charity law
  • Health and social care sector knowledge & experience.
  • Familiarity with Adobe Sign and Convene
  • Strong knowledge of risk management theory and practice
  • Familiarity with internal audit from the perspective of governance and assurance reporting including the three lines of assurance model

For the right candidate there is the possibility for flexible working arrangements including hybrid working.

The remuneration package will be competitive and will need to be discussed and agreed during the recruitment process depending upon the level of experience and suitability for the role.
